All business decisions and implementation actions are the sole responsibility of the client.

6. CLIENT RESPONSIBILITY

Clients are solely responsible for:

Business decisions and implementation of recommendations
* Outcomes resulting from those decisions
* Providing timely and accurate information reasonably requested by the Company

Clients are expected to participate in engagements in good faith and provide timely and accurate information as reasonably requested.

7. RIGHT TO REFUSE OR TERMINATE SERVICES

The Company may, at its sole discretion, refuse service or terminate an engagement at any time if it determines that a client is not appropriate for its services or is not aligned with the engagement structure.

The Company may also suspend or terminate services based on nonpayment, conduct, or other circumstances permitted by applicable law.

8. FEES AND PAYMENT TERMS

All fees are agreed upon in advance of service delivery.

Payments are non-refundable unless otherwise stated in a written agreement between the parties.

Failure to remit payment may result in suspension or termination of services.

Specific services may be subject to additional written agreements, proposals, or engagement terms. In the event of a conflict between these Terms and a specific written service agreement, the specific written agreement will control with respect to that engagement.

9. SMS TEXT MESSAGING PROGRAM

Ark & Shield Strategy Partners, LLC, operates an SMS messaging program for individuals who provide the applicable consent to receive text messages from us.

SMS PROGRAM DESCRIPTION

Depending on the type of SMS consent provided, messages may include:

Appointment-related communications
Appointment reminders
* Meeting confirmations
* Scheduling updates
* Responses to information or services requested by you
* Service-related communications
* Information related to services you have requested

CARRIER LIABILITY

Carriers are not liable for delayed or undelivered messages.

SMS Privacy and Mobile Information

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes.

Information sharing to subcontractors in support services, such as customer service, is permitted.

All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

The Company does not buy or sell leads for purposes of the SMS messaging program.

Such materials may not be copied, reproduced, distributed, published, modified, or used for commercial purposes without prior written consent from the Company.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Ark & Shield Strategy Partners, LLC, shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the use of its services, website, communications, or materials.

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles.

17. CHANGES TO THESE TERMS

The Company reserves the right to update or modify these Terms at any time.

Updates will be posted on this page with a revised effective date.

Your continued use of the website or services after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by applicable law.

Changes to SMS consent or marketing communication preferences will not be inferred merely from an update to these Terms. Where required, new or additional consent will be obtained through an appropriate consent process.
