4. Nature of Services

All services provided by the Company are advisory, coaching, and consulting in nature.

The Company does not provide legal, tax, accounting, or investment advice.

5. No Guarantees

The Company makes no guarantees regarding any business or financial outcomes, including but not limited to revenue increases, operational improvements, business valuation changes, or the success of any restructuring, scaling, or exit efforts.

All business decisions and implementation actions are the sole responsibility of the client.

6. Client Responsibility

Clients are solely responsible for:

• The accuracy of all information provided to the Company

• Business decisions and implementation of recommendations

• Outcomes resulting from those decisions

Clients are expected to participate in engagements in good faith and provide timely and accurate information as reasonably requested.

7. Right to Refuse or Terminate Services

The Company may, at its sole discretion, refuse service or terminate an engagement at any time if it determines that a client is not appropriate for its services or is not aligned with the engagement structure.

8. Fees and Payment Terms

All fees are agreed upon in advance of service delivery.

Payments are non-refundable unless otherwise stated in a written agreement between the parties.

Failure to remit payment may result in suspension or termination of services.

9. SMS COMMUNICATIONS (TCPA COMPLIANCE)

By providing a phone number and opting in through Company forms or systems, you expressly consent to receive

SMS messages from Ark & Shield Strategy Partners, LLC.

• SMS messages may include:

• Appointment reminders

• Meeting confirmations

• Scheduling updates

• Service-related communications

Messages may be sent using automated or manual technology.

You acknowledge and agree that:

• Message frequency may vary

• Message and data rates may apply

• Consent is not a condition of purchase

• You may opt out at any time by replying STOP

• You may request assistance by replying HELP

10. SMS OPT-OUT

You may opt out of receiving SMS messages at any time by replying STOP to any message.

Upon receipt of an opt-out request, the Company will cease sending SMS messages, except for a final confirmation of opt-out status.

11. NO THIRD-PARTY MARKETING

The Company does not sell, rent, or share SMS consent or phone numbers with third parties for marketing purposes.

12. INTELLECTUAL PROPERTY

All materials, methodologies, frameworks, documentation, and content provided by the Company are the intellectual property of Ark & Shield Strategy Partners, LLC.

Such materials may not be copied, reproduced, distributed, or used without prior written consent.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Ark & Shield Strategy Partners, LLC shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of its services.

14. TERMINATION

The Company may terminate or suspend services at any time, with or without notice, if it determines such action is appropriate based on engagement alignment, conduct, or operational considerations.

15. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States.

16. CHANGES TO TERMS

The Company reserves the right to update or modify these Terms at any time. Updates will be posted on this page with a revised effective date.
